Please read these Terms carefully. They form a binding agreement between you and Umbrella Projects, Inc. (d/b/a Multithred) regarding your use of the Multithred platform.
1. Acceptance of Terms
These Terms of Service (“Terms”) govern your access to and use of the Multithred platform and related services (collectively, the “Service”) operated by Umbrella Projects, Inc. (“we,” “us,” or “our”), doing business as Multithred.
By creating an account, connecting a Reddit account, or otherwise using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Service.
If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms, and “you” refers to that organization.
2. Eligibility and Accounts
You must be at least 18 years old and capable of forming a binding contract to use the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
Multithred uses passwordless authentication via email magic links. You agree to provide accurate contact information and to keep it current. Notify us promptly via our contact page if you suspect unauthorized access to your account.
We may suspend or terminate accounts that violate these Terms, applicable law, or third-party platform policies (including Reddit’s).
3. Description of the Service
Multithred is a software platform that helps advertisers and agencies manage Reddit advertising campaigns and the public discussions on those ads. The Service may include, among other features:
- AI-assisted generation of ad concepts and copy
- Campaign, ad group, and ad management via the Reddit Ads API
- Monitoring of comment threads on promoted posts
- AI-assisted classification and drafting of replies for your review
- Performance metrics, analytics, and discussion-quality scoring
- Multi-account and agency workspace management
Features may change over time. We do not guarantee that any particular feature will remain available, or that Reddit will continue to permit any specific API capability.
4. Customer Responsibilities and Reddit Compliance
You are solely responsible for your use of Reddit and for all content published through the Service on your behalf. You must comply with Reddit’s User Agreement, Advertising Policies, Developer Terms, and Responsible Builder Policy, as well as all applicable laws and regulations.
You agree that you and your authorized users will not use the Service to:
- Spam, post substantially identical content across communities, or engage in astroturfing
- Manipulate votes, karma, or engagement metrics
- Circumvent Reddit safety mechanisms or mask prohibited automation
- Operate sockpuppet networks or coordinated inauthentic behavior
- Violate subreddit rules or post promotional content where prohibited
- Harvest or use Reddit data for ads targeting outside the Reddit Ads API
Reddit may apply [App] labels to accounts or content that use automation. You acknowledge that posts and replies published via API may be labeled accordingly and may not appear identical to purely organic human activity.
We may suspend or restrict Service access if we reasonably believe your use violates Reddit policies or creates legal or reputational risk.
5. Reddit Authorization and Third-Party Services
The Service requires you to authorize Multithred to access your Reddit account and advertising data via OAuth. You grant us permission to act on your behalf only within the scopes you approve at authorization time. You may revoke access at any time through Reddit’s account settings; doing so may limit or disable Service functionality.
Multithred integrates with third-party services that have their own terms and privacy policies, including:
- Reddit — Ads API and Data API for campaign management, content, and comment access
- Stripe — payment processing and subscription billing
- OpenAI — AI-assisted content generation, classification, and embeddings
- Amazon Web Services (AWS) — cloud hosting, email delivery, and infrastructure
We are not responsible for third-party services, their availability, or changes to their APIs, pricing, or policies. Reddit API access may require separate approval or allow-listing; we do not guarantee that Reddit will grant or maintain API access for your account.
6. AI-Generated Content
The Service uses artificial intelligence to generate ad concepts, copy, comment classifications, and draft replies. AI outputs are suggestions only. By default, content is presented for your review before publication; you are responsible for reviewing, editing, and approving any content before it is posted or sent.
You retain responsibility for all content published under your Reddit accounts. We do not guarantee that AI-generated content will be accurate, on-brand, compliant with Reddit policies, or free from errors. You agree not to publish AI-generated content without appropriate human review unless you accept full responsibility for doing so.
Reddit data processed by the Service is used for inference (classification and drafting) only and is not used to train machine learning models, consistent with Reddit’s developer policies and our Privacy Policy.
7. Acceptable Use
In addition to the restrictions in Section 4, you agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable law
- Attempt to gain unauthorized access to the Service, other accounts, or our systems
- Reverse engineer, decompile, or attempt to extract source code except as permitted by law
- Resell, sublicense, or provide the Service to third parties without our written consent
- Interfere with or disrupt the integrity or performance of the Service
- Use the Service to store or transmit malware or harmful code
- Misrepresent your identity or affiliation when using the Service
We reserve the right to investigate violations and cooperate with law enforcement or platform operators as appropriate.
8. Plans, Trials, Billing, and Refunds
Multithred offers subscription plans (including Free, Pro, and Scale tiers) as described on our website. Paid plans may include a 14-day Pro trial for eligible new customers. Trial terms and eligibility are subject to change.
Payments are processed by Stripe. By subscribing to a paid plan, you authorize us to charge your payment method on a recurring basis (monthly or annually, as selected) until you cancel. Stripe is the source of truth for billing status; subscription state in the Service is reconciled via Stripe webhooks.
Cancellation: You may cancel your subscription at any time through the billing portal or by contacting us. Cancellation takes effect at the end of the current billing period unless otherwise stated. Downgrading to Free may limit features immediately upon plan change.
Refunds: Except where required by law, fees are non-refundable. We may issue refunds or credits at our sole discretion.
We may change plan pricing or features with reasonable notice. Continued use after a price change constitutes acceptance of the new pricing for subsequent billing periods.
9. Intellectual Property
The Service, including its software, design, documentation, and branding, is owned by Umbrella Projects, Inc. and protected by intellectual property laws. These Terms do not grant you any right, title, or interest in the Service except the limited license below.
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes during your subscription term.
You retain ownership of content you create or authorize through the Service. You grant us a license to use, store, and process your content solely as necessary to provide and improve the Service, as described in our Privacy Policy.
10. Confidentiality
Each party may have access to confidential information of the other. The receiving party agrees to use confidential information only to perform under these Terms and to protect it with reasonable care. Confidential information does not include information that is publicly available, independently developed, or rightfully received from a third party without restriction.
We treat OAuth tokens, account credentials, and non-public campaign data as confidential and encrypt sensitive tokens at rest.
11. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
Without limiting the foregoing, we do not warrant that:
- The Service will be uninterrupted, error-free, or secure
- Reddit APIs will remain available, approved, or unchanged
- AI-generated content will be accurate or suitable for your purposes
- Your Reddit ads or discussions will achieve any particular performance outcome
Some jurisdictions do not allow exclusion of implied warranties; in those jurisdictions, our liability is limited to the maximum extent permitted by law.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, UMBRELLA PROJECTS, INC. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE.
OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).
These limitations apply regardless of the theory of liability and even if we have been advised of the possibility of such damages.
13. Indemnification
You agree to indemnify, defend, and hold harmless Umbrella Projects, Inc., its affiliates, and their respective officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from:
- Your use of the Service or content published through it
- Your violation of these Terms or applicable law
- Your violation of Reddit policies or third-party rights
- Disputes between you and Reddit, subreddit moderators, or other users
14. Term and Termination
These Terms remain in effect while you use the Service. You may stop using the Service and close your account at any time by contacting us or through available account settings.
We may suspend or terminate your access immediately if you breach these Terms, if required by law, if Reddit revokes your authorization, or if we discontinue the Service. Upon termination:
- Your license to use the Service ends
- Outstanding fees become due for the current billing period
- We will delete or anonymize your data in accordance with our Privacy Policy and retention schedules, subject to legal retention obligations
Sections that by their nature should survive termination (including disclaimers, limitation of liability, indemnification, and governing law) will survive.
15. Changes to Terms or Service
We may modify these Terms or the Service at any time. We will post updated Terms on this page and update the “Effective date” above. Material changes will be communicated via email or in-product notice where practicable.
Continued use of the Service after changes become effective constitutes acceptance of the revised Terms. If you do not agree to the changes, you must stop using the Service.
16. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law principles.
Any dispute arising from these Terms or the Service will be resolved exclusively in the state or federal courts located in Delaware, and you consent to personal jurisdiction in those courts.
Before filing a claim, you agree to contact us via our contact page and attempt to resolve the dispute informally for at least thirty (30) days.
